KUALA LUMPUR: Property developer, LBS Bina Group Bhd via indirect subsidiary Dragon Hill Corp Ltd, has signed a conditional sale and purchase agreement with Zhuhai Holdings Investment Group Ltd to dispose of the entire equity interest in two of its subsidiaries in a RM657.7mil cash and share deal.
LBS will raise cash proceeds of RM538.1mil and also emerge as a substantial shareholder of Zhuhai, formerly known as Jiuzhou Development Co Ltd, with a 16.78% stake.
The two companies, Lamdeal Consolidated Development Ltd and Lamdeal Golf & Country Club Ltd, are being sold for RM621.6mil and RM36.1mil respectively.
The two companies are involved in golf club operations and proposed property development projects in China. Both are wholly-owned companies of Dragon Hill Corp Ltd, which in turn is a indirect subsidiary of LBS.
The deal is expected to be concluded by the third quarter of this year.
“The strategic agreement benefits both LBS and Zhuhai Holdings and we look forward to sharing our expertise with the company on its future developments. It is important to have reliable and resourceful partners for LBS to venture further in China and we are happy that we have found one.
“This signing is also in line with our aim to become an internationally recognised developer by expanding and strengthening our presence in China.” LBS managing director Datuk Lim Hock San said in a statement yesterday.
“We are keeping our options open and will consider opportunities for LBS to expand its presence in China. We are optimistic about the Malaysian property market and intend to increase our land bank in Malaysia with the gains from our proposed disposal,” he added.
According to its filing with the exchange, the board believes that the proposed disposal is timely and provides an opportunity for LBS Group to unlock the value of its investment in Lamdeal Development and Lamdeal Golf.
“The proposed disposal is expected to record estimated total proforma gain on disposal of about RM240.4mil for LBS Group.
“As a substantial shareholder of Zhuhai Holdings upon completion of the proposed disposal, LBS Bina, via Dragon Hill, will contribute its expertise to the future development of the enlarged entity.
“The board recognises that a reliable and resourceful local partner is crucial for LBS Group to ride on the recovery trend in the China economy, to further expand its businesses and to establish a stronger foothold in the country.
“This proposed disposal provides an opportunity to achieve such objectives,” said LBS .
The proposed disposal may improve the group's net asset per share from RM1.17 to RM1.74 based on the its audited financial statement as at Dec 31, 2012.
The proceeds from the proposed disposal may also improve the LBS' gearing ratio from 0.81 to 0.575. The group hopes to increase the consolidated earnings and earnings per share for the financial year ending Dec 31, 2013.
