From the AR of KNM (Part 1: page 9) "The production of our bio-ethanol plant in Thailand was also substantially lower in FYE2020 due to the lockdowns, coupled the significant increase in the cassava chip prices in the second half of 2020 driven by high demand from China and limited supply caused by cassava deceases. As such, our local management team had taken various cost control measures including reducing ethanol production, initiate contract farming and sourcing from cheaper and stable supply channels in the long run in order to reduce the cost of ethanol production and operating losses in FYE2020." So, I think the Thailand Ethanol revenue as reported for Q1/2021 is not included.
i mentioned that the AR page shown as 160 is the auditor's report. the bottom half of this and the following page is very concerning. talks about inherently "uncertain" in reference to going concern and the bond maturing in November. we all need to look closely at this information.
so if I get this right, Gan wants to dilute our shareholder value by 30% to pay back loans the company can't pay back itself from operations. then further somehow by November somehow they refinance the THB2.7 BILLION (not million) bond. or maybe they will pay that off with shares as well? where does all this money go? 2.7B ??? no phase 2 at the ethanol plant it was to be used to build. ethanol is not profitable to make according to the AR? where is the 2.7B???
looks like the esos story that came out a few weeks ago was correct. the ESOS shares mostly go to Gan and her indirect interest. see page 45 directors interest (esos). shows 40 million for her and 75 million for her indirect interest. why does a glorified HR manager get all these esos shares and allowed to run a oil n gas company? she is not qualified to read a map let alone a drawing. the more I read, the more I see we have been played the fool.
Why management not support from thailand output to stabilise share prize...big bio ethanol at thailand n world class engineering borsig at Gemany.....for me this Chinese opera or wayang china from LSE n sardine81.
will not go into pn17...unless really got 1 big share holder beh tahan and report..else life goes on--- PP, right issue, ESOS, reseve split......then PP , right issue, ESOS , RS again ......no ending.... ( i feel only, may not true)
fiduciary duty of a director: is to the best interest of the company (KNM).
Not the best interest of major shareholders of KNM.
why only placement to major shareholder and selected investors? Why not rights issue to all shareholders? Thats what Icon Offshsore did. Alam did.
I call all small shareholders pls vote to not approve all AGM resolution. Then new management can come in, unearth all the question marks, stop the hanky panky if any.
its a shame KNM has improved in 2020. highest profits in a long time bla bla bla. 2020 auditor statement; mei wen ti. Auditor on ly highlight the judgment call areas.
Admittedly new covid challenges in 1Q 2021 is a dent, but still the underlying belt tightening is good performance and indicator for KNM.
what is disconcerting is: 1. Why on earth the company sell treasury shares in Apr 2021 at 18.5 and 19.5sen? Total sold: 21.5mil shares. What benefit to KNM? so hard up for cash ah? Dont tell me KNM needed this RM 4mil - if not company go bankrupt? got ah?
2. KNM also sold 6.5mil treasury shares on 29 december 2020 for 20.5sen.
3. Fact is company only buyback 6.5mil shares on 9 march 2020 for 15 sen, the other treasury shares carrying value RM 2++ level.
So why would directors of company deem fit to sell 21.5mil shares at 90% loss? Director better answer this.
because i see it as purely to depress share price.
and the substantial shareholder? 1 Jan 20: 381 mil shares in 2020: buy 101 mii shares. Sell 203 mil shares. 31 Dec 20: 279 mil shares.
so now want to issue another 300mil shares just for her?
As I said before, the selfish management and it's frequent PP making KNM can't move ,or even moving down, their report has been improving and the oil price is going upwards...KNM should have been performing well...But just too bad... Greedy and selfish management that is making the whole things ugly...
FYI, sardine keep saying knm performance is nothing to do with oil price, bro..Even if their own report saying that oil price is definitely has a great impact on its business...
The KNM Group Berhad Shareholders have been disadvantaged without the knowledge of the illegal activities of its current CEO Lee Swee Eng his KNM cohorts by continuing to support unknowingly the illegal activities of KNM Group Berhad Directors. It is likely the shareholder elections would have gone much differently if the shareholders were properly informed.
The AGM for KNM is dated 29 June 2021. Four of the directors that control the KNM Board including Lee Swee Eng’s HR manager and wife Gan Siew Liat are up for re-election. Many Shareholders say that is not likely Gan Siew Liat will be re-elected.
@Sardin81 I think you shall join to reject all the proposal as well. Since you also hold a big amount of the shares. If everyone is on this together the chances of kicking the management will be high since the news is already published publicly I think management will lose this round. I rather want to vote for those german to take over and change name to borsig
NEW ISSUE OF SECURITIES (CHAPTER 6 OF LISTING REQUIREMENTS) : FUND RAISING KNM GROUP BERHAD ("KNM" OR THE "COMPANY") PROPOSED PRIVATE PLACEMENT OF UP TO 30% OF THE ISSUED ORDINARY SHARES IN KNM
