Spring Gallery Berhad ("SGB" or "the Company") wishes to announce, pursuant to Paragraph 9.19(23) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, that SGB has today, 15 November 2016, acquired two (2) ordinary shares, representing 100% of the total issued and paid-up share capital of Million Rich Development Sdn. Bhd. (Company No. 1207291-T) (“MRDSB”) for a total consideration of RM2.00.

MRDSB was incorporated on 31 October 2016 and its present authorised share capital is RM400,000.00. MRDSB is presently dormant and the intended principal activities are property development and/or property investment.

None of the directors or substantial shareholders of SGB or persons connected with them has any interest, whether direct or indirect, in the aforesaid acquisition.

与HSSB怡保建住宅SGB进军产业发展

NanYang Thu, Jan 19 2017 12:30 a.m.

(吉隆坡18日讯）SGB（SGB，7165，主板消费产品股）独资子公司Million Rich Development私人有限公司（MRDSB），与Hasil Senudong私人有限公司（HSSB）联营在霹雳怡保发展住宅项目，首次进军产业发展领域。

该公司今日向马交所报备，HSSB将提供3.3公顷的租赁地皮，而MRDSB将承担发展成本和开销，发展总值预计为1亿6119万6000令吉。

SGB董事部相信，产业发展业务可为该公司带来额外的收入，改善未来的盈利，同时也与旗下建筑业务互补。

由于该地皮的用途为体育中心，HSSB必须在签署联营协议后的6个月内，申请转换地皮用途为住宅产业用途。

MRDSB会支付1750万令吉保证金予HSSB。项目竣工后，MRDSB将获得60%的净收入，其余归HSSB。

SGB将动用内部资金、银行借贷或附加股筹资所得，来为该项目进行融资。

SGB计划在该地皮兴建2栋中端公寓，总共408个单位。
