Independent advice circular to the non-interested shareholders of Comintel Corporation Bhd ("Comcorp") in relation to the proposed disposal of 100% equity interest in BCM Electronics Corporation Sdn Bhd, a wholly-owned subsidiary company of Comcorp, to Aurelius Holdings Sdn Bhd for a cash consideration of RM123,800,000 ("Proposed Disposal")
(Extract of recommendation from the independent adviser KAF Investment Bank Berhad)
RECOMMENDATION(under Executive Summary): Based on the above and the evaluation of KAF IB as a whole, we are of the opinion that the Proposed Disposal is FAIR and REASONABLE and is NOT detrimental to the noninterested shareholders of Comcorp. Accordingly, we recommend that the non-interested shareholders of Comcorp to VOTE IN FAVOUR of the ordinary resolution pertaining to the Proposed Disposal to be tabled at the forthcoming EGM of the Company.
Somebody commented that it may not be a fair deal, given that it is a related party transaction. Now, we have a more objective view from the independent adviser.
Today, the operator attempted to break above the recent high of 78.5 sen, but unsuccessful. Nevertheless, it still closed up 1 sen, ahead of a weekend.
Next week will be more interesting as we approach nearer to the EGM date on 15 Jan 18.
I like the current price movement. Small vol traded with an upward bias. Once the vol explodes, 1 of the 2 things could happen: 1. The operator invites punters/investors to trade the price higher; 2. The operator will distribute his shares when the price spikes up a lot, like in the previous case.
We can only tell whether it is scenario 1 or 2 on hindsight. So, it is usually safer to buy on small vol traded.
Reading the valuation report from KAF, a few interesting points: - the offer price of 123.7m was based on Net Asset(NA) as of 31-Jan-2017 - BCM's appraisal value is 85.7-87.4m or 41% to 44% lower than the offer price based on DCF came up by KAF by assuming 0.5% to 1% growth rate going forward. - The valuation is "fair" because "difficult to seek alternative bids" (not sure why they cannot list the company), so take 25% discount for liquidity charge (including cash ! I didn't know cash is not liquid)
KAF is indirectly saying is that the NA is overstated! The insiders must be idiots to take over a company with 0.5% to 1.0%p.a. growth potential going forward for more than 40% premium. Comcorp is so lucky now to find a buyer.
By the way, the NA and profit as of 30-Oct-2017 was 134.7m and 11m respectively. Comcorp is likely to lose 5m-8m a year after selling their golden goose. Has anyone seen BCM's balance sheet apart from the one page provided by KAF? There could be some golden eggs hiding there.

Today, many counters are pressed down, as reflected in a drop in the FTSE Bursa Small Cap index, even though KLCI is up 3.24 pts. This might have prompted a small no of weak holders to sell this counter.
Anyway, the outcome of the EGM will soon be announced on Bursa website. See if there is any goreng up in the coming days or nearer to cd date.
