- Federal and state governments sign HoA: Last Friday, the Federal and state governments signed the Heads of Agreement (HoA) to finalise the restructuring exercise in Selangor. The HoA is an extension of the Memorandum of Understanding (MoU) that was signed in Feb between the two parties. The state was represented by Mentri Besar Tan Sri Khalid Ibrahim while the Federal government was represented by Energy, Green Technology and Water Minister Datuk Seri Dr Maximus Ongkili.
- HoA covers Langat 2, water restructuring exercise and mitigation projects: The HoA covers both the proposed RM9.65bil takeover of assets belonging to the four water concessionaires in the state as well as the implementation of the Langat 2 water treatment plant (WTP) and its distribution system.
- Key points on the water restructuring exercise:
(i) Transfer of RM2bil worth of assets to PAAB: The state will transfer RM2bil worth of assets not linked to the four concessionaires to Pengurusan Aset Air Bhd (PAAB). The proceeds from this will then be used to acquire the equities of the water assets;
(ii) Consolidation under an SPV: The water operators will be consolidated under a special purpose vehicle (SPV) which will be wholly-owned by the Selangor government and licensed under the Water Services Industry Act 2006 (WASIA); and
(iii) Operating via an asset light model: The SPV will operate via an asset light model by transferring the liabilities and water assets related to the liabilities to PAAB. The SPV will then lease the water assets from PAAB.
- Key points on the Langat 2 project:
(i) Commitment to complete Langat 2 by mid-2017: The agreement outlines the commitment by two parties to ensure the completion of Langat 2 by mid-2017;
(ii) State to issue all approvals: In regards to this, the state is committed to issue all approvals, including those related to land, planning permission, permits and way leaves for electricity transmission lines, needed for the implementation of the project; and
(iii) A special implementation committee and two working committees established: To implement Langat 2, a special implementation committee co-chaired by the Mentri Besar and the Energy, Green Technology and Water Minister was established. In addition, two working committees (including one chaired by the Selangor State Secretary) were established to resolve matters relating to the implementation of the project.
- No water tariff hike for the next three to four years: Following the signing of the HoA, Khalid said that there will be no water tariff hike in the Klang Valley for the next three to four years.
- SPLASH left to accept offer: Recall that K.Abass, Puncak Niaga Sdn Bhd and SYABAS have agreed to their respective offers in the restructuring exercise. SPLASH is the only concessionaire left to accept the offer. Gamuda Bhd, which owns a 40% stake in SPLASH, had noted that the RM250.6mil offer was less than 10% of SPLASH’s NAV of RM2.54bil.
- Fed to ensure negotiations continue: Nevertheless, the Federal government noted that it is committed to ensure negotiations continue between the state and SPLASH to ensure an ultimate closure for the water saga. We understand that a revision in bulk water supply rates could result in SPLASH’s acceptance to an offer.
- Maintain NEUTRAL: We are not surprised with the signing of the HoA as it would mitigate any uncertainties following calls for Datuk Seri Dr Wan Azizah Wan Ismail to take over as Mentri Besar of the state. There are talks that the terms of the water consolidation exercise could be revised if Wan replaces Khalid as the chief executive. Meanwhile, Puncak Niaga Holdings Bhd is expected to sign a definitive agreement on the water restructuring exercise within the next two months. Maintain NEUTRAL.
The Selangor government is sticking to its collective RM7.65bn takeover offer as the state's water impasse edges a step closer to closure. The federal and Selangor governments signed a heads of agreement (HoA) on the restructuring of the state's water supply and distribution industry on Friday. Energy, Green Technology and Water Minister Datuk Seri Dr Maximus Ongkili represented the federal government, while Menteri Besar Tan Sri Khalid Ibrahim signed on behalf of Selangor. Khalid said the collective RM7.65bn offer to the state's four water concessionaires remain unchanged, adding that the federal government is due to invoke Section 114 of the Water Services Industry Act 2006 (Wasia). Once invoked, it will reduce the takeover cost of the four companies by RM2bn from the initial offer of RM9.65bn.
The move will allow Selangor to pay only RM7.65bn to Puncak Niaga Holdings Bhd, Syarikat Bekalan Air Selangor Sdn Bhd (Syabas), Syarikat Pengeluar Air Sungai Selangor Sdn Bhd (Splash) and Konsortium ABASS Sdn Bhd. Of the four, Splash remains the only one that has yet to strike a deal with both the federal and Selangor governments. (BT)
The signing of the Heads of Agreement on the restructuring of Selangor water industry cannot be annulled by a change of the Selangor menteri besar, said Universiti Utara Malaysia Law, Government and International Studies College dean, Associate Professor Dr Ahmad Martadha Mohamed. "If the new menteri besar wants to annul the agreement, there will be legal implications as it is a valid agreement. The agreement is bound to have terms on withdrawal by any party, including compensation and other possible penalties," he said. (NST)

Technically, it is not looking good for SALCON as its 20-Day Moving Average is sloping downward and its price action is below the Moving Average line. The support and resistance level of SALCON are 0.86 and 0.925 respectively. The indicator analysis on RSI is not exhibiting any extreme condition. Watch out for the 30% and 70% levels which indicate any oversold and overbought condition respectively.
If you have the spare cash with an investment horizon of 6 months to a year, I would opine that your investment in Salcon will be rewarding. Low gearing, high cash position, well managed company with purposeful diversification into properties and fibre optics. Good luck to investors. Trust your own instinct.

(布城1日訊)面對公正黨欲撤換大臣壓力的雪州大臣丹斯里卡立今日與中央政府簽署水供重組計劃協議,以長期解決雪州的水供課題。
能源、綠色工藝與水務部長拿督斯里麥西慕代表中央政府簽署這項協議,雪州大臣丹斯里卡立則在代表雪州政府簽署;出席見證者包括雪州行政議員鄧章欽。
麥西慕說,今日簽署的這項協議,是繼雙方於2月26日簽署有關冷岳第二輸水計劃(Langat2)瞭解備忘錄的後續行動,這項合作證明人民利益比政治利益更加重要。
“瞭解備忘錄的大部份內容已列入今日簽署的協議,而數個重要事項已開始落實。”
他說,雪州政府旗下的達魯依山公司集團(KDEB),已經向4家涉及的特許經營公司股東提出獻議,分別是Konsortium Abbas、雪州水供公司(Syabas)、商業高峰(Puncak Niaga)和雪河公司(SPLASH)。
