KUALA LUMPUR (June 10): The Institute of Corporate Directors Malaysia (ICDM) observed that companies have become more aware of building a culture of sustainability for greater performance.

ICDM president & chief executive officer Michele Kythe Lim said over the past two years, the institute has seen a marked change in board priorities and dynamics.

"Board attention and priorities on performance are underpinned by the understanding of the need to move the needle on culture and sustainability. The drive to elevate board performance is evident in the continued growth in our corporate and individual membership numbers, as well as the rapid rise in requests for external director sourcing and board evaluation.

"This willingness, or change in attitudes, perception and acceptance, signals a concerted effort to improve professionalism and diversity. This is in line with the paradigm shift of board leadership in Malaysia, which is to develop an agile and future-focused leadership model to ensure sustainability on three fronts: business, community and the planet," she said in a statement.

According to ICDM, 15 Malaysian companies had commissioned ICDM to conduct an external board and directors evaluation as of April 2022, doubling the number from the last reporting period (January 2020—April 2021).

ICDM also observed that more companies are incorporating independent searches in their board appointment process. During the same period, the institute received 87 independent directors sourcing requests, compared with 42 in the preceding reporting period.

The institute added that its membership community grew to 933 individual and 66 corporate members, representing increases of 39% and 32% respectively from April 2021.

These finding were revealed by ICDM through its annual report, titled "Sustainable & collaborative value creation".

ICDM is the one-stop centre for all board and director needs, dedicated to empowering boards and directors with the right skills, knowledge and mindset as well as digital competencies to enhance their professionalism and effectiveness.

Spearheaded by the Securities Commission Malaysia and supported by Bank Negara Malaysia, Bursa Malaysia and the Capital Market Development Fund, ICDM serves as the national institute of directors and aims to be a leading influence of excellence in governance.

KUALA LUMPUR (June 10): A total of 74 out of 972 public listed companies (PLCs) have signed up to be part of the Public Listed Companies Transformation (PLCT) Programme spearheaded by Bursa Malaysia Bhd as of Friday (June 10).

Bursa said 61 of the PLCs are from the Main Market, 15 of which are components of the FBM KLCI. Another six are ACE Market companies and seven more are LEAP Market firms.

The exchange said the highest registration came from companies in the industrial products and services sector, as well as the consumer products and services sector, with 16 PLCs each.

The financial services, property and technology sectors each have six participants, followed by energy with five participants, plantation and construction (four each), telecommunications and media, and healthcare (three each). Another five participants are from the "others" sector.

The frontline regulator of the Malaysian capital market has a total of 972 listed companies, with 781 of them in the Main Market, 148 in the ACE Market and the remaining 43 in the LEAP Market.

The PLCT Programme aims to steer corporate Malaysia to higher performance levels and create a more attractive marketplace for both domestic and foreign investors.

After launching the programme on March 2, with the first guide book titled “Creating Purpose and Performance Driven PLCs”, Bursa released the second guide book entitled “Sustainable, Socially Responsible and Ethical PLCs” on Friday.

The second guide book presents an environmental, social and governance (ESG) framework for PLCs to develop a well-defined ESG approach.

Another three guide books are expected to be released in 2022, while the programme, which is open for all PLCs to join, will run until 2025.

“ESG is something that is front of mind, topical, and we are looking to use that to also encourage adoption [among companies] because it is meaningful. The [ESG] guidebook itself is easy to use; it has guidance and more importantly, we have a first of it today,” Bursa chief executive officer Datuk Muhammad Umar Swift told reporters after launching the second guidebook.

In his speech earlier, Umar said PLCs need to address critical ESG concerns that materially impact their business operations, as well as longer-term prosperity.

“Critical areas of focus include addressing material climate-related risks, and managing key environmental or social impacts such as human rights and labour practices. There is a pressing need to also reinforce accountability among senior management and directors.

“The exchange is only as good as the products or companies that are listed on it. These days, investors view the companies beyond its market and intrinsic financial value. Failure to meet ESG compliance results in reputational damage that can be detrimental to a company’s credibility,” he said.

KUALA LUMPUR: Syarikat senaraian awam (PLC) perlu membangunkan pendekatan alam sekitar, sosial dan tadbir urus (ESG) yang lebih terperinci, menurut buku panduan yang dilancarkan oleh Bursa Malaysia Bhd hari ini.

"Ini termasuk melaksanakan tadbir urus yang lebih baik selain pengurusan prestasi alam sekitar serta sosial yang lebih berkesan dengan menerima pakai amalan ESG yang mantap merentasi fungsi utama organisasi," kata bursa dalam satu kenyataan.

Buku panduan (Buku Panduan 2), bertajuk 'Sustainable, Socially Responsible and Ethical PLCs', adalah yang kedua dalam siri lima buku panduan Program Transformasi PLC.

Ketua Pegawai Eksekutif Bursa Malaysia, Datuk Muhamad Umar Swift, berkata PLC perlu menangani kebimbangan ESG kritikal yang memberi kesan kepada operasi perniagaan mereka serta kemakmuran jangka panjang.

"Bidang tumpuan kritikal termasuk menangani risiko berkaitan iklim yang material serta menguruskan impak alam sekitar atau sosial utama seperti hak asasi manusia dan amalan buruh.

"Terdapat keperluan mendesak bagi mengukuhkan akauntabiliti di kalangan pengurusan kanan dan pengarah," kata Muhamad Umar, yang menjadi moderator panel interaktif semasa pelancaran buku panduan itu.

Menurutnya, pelabur hari ini melihat syarikat-syarikat melangkaui pasaran dan nilai kewangan intrinsik mereka.

"Kegagalan untuk memenuhi pematuhan ESG mengakibatkan kerosakan reputasi yang boleh menjejaskan kredibiliti syarikat," katanya.

Pengerusi Bursa Malaysia, Tan Sri Abdul Wahid Omar, berkata Buku Panduan 2 Program Transformasi PLC berfungsi sebagai bantuan berguna bagi syarikat dalam meningkatkan amalan terbaik ESG di seluruh organisasi mereka.

"Bursa amat menggalakkan PLC untuk meningkatkan penggunaan amalan terbaik yang terkandung dalam siri buku panduan tersebut, yang mencerminkan jangkaan daripada pihak-pihak berkepentingan," tambahnya.

Pada 2 Mac 2022, Bursa Malaysia melancarkan Program Transformasi PLC, pada acara yang dirasmikan oleh Menteri Kewangan Tengku Datuk Seri Zafrul Abdul Aziz, dengan objektif untuk membantu meningkatkan kedudukan Korporat Malaysia serta meningkatkan daya tarikan PLC di Malaysia.

Penggunaan amalan terbaik dan program perkongsian maklumat akan berterusan sehingga 2025.

Buku panduan digital pertama dan kedua program ini boleh dimuat turun melalui laman web Bursa Malaysia.

Pasukhas said that it will continue monitoring the latest developments in the property market with the aim of exploring opportunities, including via the formation of strategic alliances or JVs in the property development space.

The group said that it plans to also work with various property developers and project owners in Malaysia to secure additional mechanical and engineering contracts for commercial buildings, mixed developments, and other specialised projects.

Meanwhile, Pasukhas said it is actively pursuing potential sand buyers from mainland China and Hong Kong!!!$$$$$

KUALA LUMPUR (June 14): Seng Fong Holdings Bhd, which is en route to a listing on the Main Market of Bursa Malaysia Securities Bhd, has launched the prospectus for its initial public offering (IPO).

In a statement on Tuesday (June 14), the rubber processor producing and trading Standard Malaysia Rubber and premium grade block rubber said the IPO involves the issuance of 160.87 million ordinary shares or 31% of the company’s enlarged number of issued shares comprising a public issue of 90.81 million shares and an offer for sale of 70.06 million shares.

It said the retail offering of 42.20 million shares, representing 8.1% of the enlarged number of issued shares, comprises 25.95 million shares representing 5% of the enlarged number of issued shares to be made available for application by the Malaysian public, followed by 16.25 million shares representing 3.1% of the enlarged number of issued shares reserved for application by eligible persons, 64.87 million shares by way of private placement to bumiputera investors, and 53.8 million shares by way of private placement to other institutional and selected investors.

Seng Fong managing director Er Hock Lai said the immediate objectives of the listing are to optimise production by increasing total annual capacity through the hiring of additional workers for a second working shift and implementing environmental, social and governance (ESG) initiatives to make its business more sustainable.

“We intend to use part of the proceeds raised through the IPO to fund our working capital requirements to expand our annual production capacity to 166,000 metric tons by 2023 from the current capacity of 142,000 metric tons.

“To further our ESG initiatives, we are also using proceeds raised from the IPO to repay bank borrowings that we have used to instal two solar systems that will help reduce overall electricity expenses,” he said.

Er said Seng Fong will also allocate proceeds raised from the IPO for the installation of two biomass systems using wood chips and replacing diesel to reduce overall fuel costs for our factories.

“We estimate that the use of the solar systems will result in savings of RM2.6 million, while the biomass systems will help us save RM3.5 million.

“On top of the cost savings, the use of renewable energy to reduce electricity and fuel consumption is in line with our emphasis on having sustainable business operations and the need to conserve the environment.

“Building on our solid fundamentals and business reputation, we intend to recommend at least 50% of our annual net profit as dividends to shareholders subject to the approval of the board of directors and shareholders,” he said.

Meanwhile, Hong Leong Investment Bank Bhd group managing director and chief executive officer Lee Jim Leng said Seng Fong will be able to leverage the IPO to attain its immediate objectives while enhancing its presence in the international market for rubber processing.

Seng Fong said almost all its revenue is derived from sales to international customers for financial year 2019 (FY19) to FY21.

For the nine months ended March 31, 2022, Seng Fong said it posted RM662.43 million in revenue with a gross profit of RM61.74 million and a net profit of RM31.32 million.

(Reuters) - West End of London-focused property firms Shaftesbury Plc (LON:SHB) and Capital & Counties Properties Plc (LON:CAPCC) would merge to form a combined group, the companies said on Thursday.

Under the terms of the merger, the shareholders would get 3.356 new Capco shares for each Shaftesbury share held.

Reopening theme
Bank Negara Malaysia (BNM) has projected GDP growth of 5.3%-6.3% for 2022, driven by the reopening theme and resumption of projects with multiplier effects and strong external demand from our major trading partners.

It went on to say that the country's foreign direct investment (FDI) grew RM23.3 billion to RM812.1 billion in the first quarter of 2022 from the preceding quarter, with the manufacturing sector receiving the highest value of FDI at RM347.1 billion.

"The tourism sector, which has been in the backseat for the past two years, is likely to recover with the reopening of international borders, thus benefitting the hospitality, transportation, recreational and services sectors," it added.
