The company proposed the dividend last year. The current price already factor in the declared dividend as well. Some investors may think to take the profit now rather to wait for the dividend. We can expect more dividend in future provided the company keep on growing.

will shareholders be given an option to offset the Rights with the 62-sens special dividend. Therefore the entire exercise could be cashless transaction?

You definitely will get the bonus share & dividen if you continue to hold the stock. You just need to decide whether to take up the right issue or not.

No offsetting the right with the special dividend is mentioned. I think it is quite unlikely as the dividend is paid on 13/4/2012 and the last day for payment of the right is on 27/4/2012. Thanks.
