Price sink or up not because ikan bilis retailers like you and me can control. We are just riding along with syndicate for the crumbs. Esos at 50% discount is a fact regardless whether T&C or not. So just take note when you trade.

I was expecting closing at 0.37 which is bad already from high 0.40. Like someone commented earlier, 0.36 close is hitting below the belt and that's really reinforced K1 bad reputation of pump and dump.

When got such a huge number of ESOS (6 %) to be added up to the number of share floated in the market. We should expect the price of the share should be reduced as well. The price should be 0.34 after the listing of the new shares

Employee Share Option Scheme (ESOS) 是员工股票认购权。简单来说,就是公司赋给特定员工一个权力,以一定的价格和在一定期限内购买公司新发出的股票。

特点

1 认购价(Exercise Price)

这个员工股票认购权是有一个指定的股价。不论员工何时执行认购权,都是同一个价格。所以员工可以在股票市价比认购价高时执行认购权,这样员工直接将股票以市价卖出,就可以赚取利差。当市价比认购价低时,员工可以选择不执行认购权。发出认购权的时候,认购价通常会比股票当时的市价低。

2 认购期限(Duration)

员工股票认购权是有期限。员工只能在这一段期限内执行认购权利。当认购期限到期时,员工就没有这个权力了。不过ESOS的认购期限是比一般股票期权认购期限来得长。ESOS的认购期限可长达十年。

3 认购数量(Quantity)

员工股票认购权是有一定的限定数量。也就表示员工最多可以认购期权里所指定的最高数量的股票。

4 不可转让(Non-transferable)

员工股票认购权是公司本身和特定员工的私人合约,这份合约不可转让给其他人。

5 转换或卖出条件(Vesting)

一般上员工股票认购权会有一些条件来预防大量卖压,也就表示它会附带条件说认购的股票要到未来一个时期才可以卖出或转换,或者是平均未来的几年可以卖出或转换几巴仙。此附带条件依个别公司而定。

影响

1 对公司的影响

公司可以从员工认购股票后,得到一笔现金流。此外,当员工拥有公司的股票时,员工会有归属感,会觉得公司的一部分是属于自己。公司业绩好,股价上升,员工本身也可获利。所以员工会更尽力去搞好公司。

2 对员工的影响

员工可以获取一笔额外的钱,因为发出认购权时,认购价通常会比股票当时的市价低。所以认购股票后,再拿到市场去卖,就可以赚钱。

3 对股东的影响

当有员工认购股票后,EPS会被冲淡,因为总股量增加了。同时,股票也会经历短期卖压,因为可能有员工卖掉认购的股票。但是长期来看是好事,因为员工更努力,公司业绩好,股价会上涨。

34 mil share of ESOS is the biggest ESOS allocation in K1 history. Watch out. Could be another good way for the big boss to exit.. N say goodbye. My friend said they can sell the share on monday without any restriction. Got another anouncement in Jan. Good luck

If Lalam2017 friend who works in K1 confirmed he can sell his Esos on Monday, why are supporters still trying to deny or overlook this? So that K1 price will not drop again and tp out of reach. Face it K1 is a true weak laggard whether HC or Tech viewpoint which I have monitored price pattern everyday since March 2020. Good for pump and dump which you can make some money if you follow syndicate style.

Happy new year 2021.Yes they can sell at anytime as they wish. The BOD is crazy, where got people release the 34mil of shares under ESOS at one shot. The company still got 51mil cash reserve and never give the dividend to the shareholders. Dont be surprised, if the rm51mil is utilised in share buy back.

Yesterday K1 released 1 good news to push up, then afternoon 1 Esos bad news to bring it down. Must tread carefully this stock not knowing what other surprises they might unveil later

The BOD r crooks. The Rm51 can be used to buy back their shares. They should allocate that 34mil shares under right issue or private placement but not under ESOS. No progress for the sales of nasal swab, ventilator, syringe cap and vaccine.

Hi All, Good Afternoon, It be quite a while since my last posting in early Sept, 2020 and now we are in 2021. In my last few posting, I have mention that, look beyond Q2 in year 2021, and I have been collecting when the price drop below 0.35 and hope it hit my TP in year 2021.

As for ESOS issue, under Rule 9.19(51) ACE Market Listing Requirement, the approval Date of Offer on 13/3/2017 and expire on 7/3/2022 of 130 millions @ 0.165. Out Of the 130 millions, the Director's was offer 29.5 millions (namely, Lim Beng Fook (13 millions), Lim Soon Seng (13 millions), Bjorn Braten (1 million), Goh Chong Chuang (1 million), Loi Kim Fah (1 million) and Anita Chew (500,000), and the balance 100.5 Millions are for the employee's.

For the Director's of 29.5 Million's the vesting period's are 25% (2020), 25% (2021) and 50% (2022)

On 13/1/2018, 8 Million's @ 0.19 issues and the vesting period's are 25% (2020), 25% (2021) and 50% (2022).

On 10/7/2018, 3 Million's @ 0.19 issues and the vesting period are 30% (2018), 20% (2019), 20% (2020), 30% (2021)

Base on 31/12/2020 announcement of ESOS ( Exercise of Option to Subscribe) of 33+ Million's offer to Director's and employee's, there were be vesting % and year. Lest look out for further announcement in the coming days.

Please bear in mind that ESOS is created to recognise past contribution, to encourage better future performance and contribution, to motivate and encourage, retain employees whose services are vital to the operations and to reward the eligible persons by allowing them to participate in the Company’s.

Let us hope 2021, will be a good year for K-1.

If the effect of awarding employees at > 50% discount market price means depressing the price price further until 0.36 (which you guys claimed is Lalam2017's fault), then something is wrong. Especially after announcing news earlier that pushed it to 0.40. Think of example Private Placement issued at such discounted price, would you not hentam K1 management?

IMO, without the hard work of K1 employees, the company would not be able to transform from hand phone accessories business which have China as a cheap and tough competitor to health care business. No doubt the share price will be damper when they reap their rewards, but this is still their hard work which they deserved. Looking at long term, we will gain as this is the incentive for the employees to work hard for the company, subsequentky the share price will follow the value of the company.

Value investing or trading whichever you are, this counter has strong characteristics of pump and dump every time "good news" announced. That's why it is still hovering under 0.40 and could not sustain or breach new high. Insider, syndicate, shark, operators all have a hand in it. Retailers no impact on price whether you support or hentam it.
