On earlier proposed acquisition of 35% of Techninier at RM 90millions by issuing Macpie shares to the vendor. The following scenarios may arise. say,
1. If Macpie share issued at 0.20 per share. Macpie has to issue 450million shares to satisfy RM90million. Thus the vendor will hold equivilant to 450/(929+450)= about 32.63% of the enlarged capital.
2. If Macpie share issued at 0.30 per share. Macpie has to issue 300million shares to satisfy RM90million. Thus the vendor will hold equivilant to 300/(929+300)= about 24.41% of the enlarged capital.
In the above two scenarios. If issue at 20 sen per share, the vendor will holding nearly 33% which may trigger Mandatory General Offer (MGO) to all shareholders.
So the issue price will be depending on the weighted average market share price later. ideally above 30 sen can be more acceptable by the board and its EGM approval later, i guess.
