TRANSACTIONS (CHAPTER 10 OF LISTING REQUIREMENTS): NON RELATED PARTY TRANSACTIONS AQUISITION OF A 25% EQUITY STAKE IN BAS RAKYAT SDN BHD BY WHOLLY OWNED SUBSIDAIRY GPB CORPORATION SDN BHD
The Board of Directors of Gunung Capital Bhd (“Gunung or the Company”) wishes to announce its wholly owned subsidiary GPB Corporation Sdn Bhd (“GPB”) had on 17 February 2014 acquired seventy five thousand (75,000) ordinary shares of RM1.00 each in Bas Rakyat Sdn Bhd (“Bas Rakyat”) from The Perak State Secretary Incorporated (“SSI”) representing 25% of the issued and paid-up capital in Bas Rakyat, for a cash consideration of RM1 only.
The total issued and paid-up capital of Bas Rakyat stands at 300,000 ordinary shares of RM1.00 each. GPB now owns three hundred thousand (300,000) ordinary shares of RM1.00 each in Bas Rakyat which represents 100% of the issued and paid-up capital in Bas Rakyat.
Bas Rakyat principal business is chartering of, and operating of, passenger transportation assets, namely public bus services. Bas Rakyat announced on 3 November 2010, that it entered into a contract with the State Government of Perak for Bas Rakyat to operate a public bus service in the district of Manjung, state of Perak, with eighteen (18) units of new buses covering seven (7) routes identified by the State Government of Perak for seven (7) years (“Contract”). Bas Rakyat commenced operations pursuant to the Contract on 1 August 2011.
The above acquisition is not expected to have any material effect on the earnings, net assets, share capital and major shareholding of Gunung for the financial year ending 31 December 2014.
The above acquisition does not require the approval of shareholders of the Company or any other Government authorities.
None of the Directors, and/or major shareholders or person connected to the Directors and/or major shareholders has any interest, whether direct or indirect, in the above acquisition.
someone please advice... i bought this at high and now i regret it because there's totally no going up from that day. its been tumbling down day by day... anyone has any idea? i'm a new investor, very young in the market and was hoping my money can work for me. Plan backfired?

Wah why so confident? I just somehow got a feeling that it will slightly break the RM1 mark then start dropping again like last year, unless their coming result is strong. Probably RM1.5 mid next year.

The Board of Directors of Gunung wishes to announce that GPB Corporation Sdn Bhd (“GPB”), a wholly-owned subsidiary of Gunung, had on 15 May 2014 received two (2) separate Letters of Award from International Islamic University Malaysia (“IIUM”), to operate a shuttle bus service within the Kuantan campus, and the Gombak campus. GPB will enter into two (2) separate formal Contract Agreements with IIUM in due course. Until the relevant Contract Agreements are executed, the Letters of Award/ acceptance, and the Tender Documents shall constitute a binding contract between GPB and IIUM.
The shuttle bus service operating within the Kuantan campus of IIUM involves 4 units of buses with a 44 passenger capacity. The total contract value is RM1,152,000.00. The service will be in operation for a period of two (2) years from June 2014.
The shuttle bus service operating within the Gombak campus of IIUM involves 4 units of buses with a 44 passenger capacity. The total contract value is RM3,052,800.00. The service will be in operation for a period of five (5) years (3 years plus an option to renew for 2 years) from June 2014.
GPB is required to deposit a bank guarantee amounting to RM28,800 with IIUM as a performance bond for the Kuantan contract, and GPB is required to deposit a bank guarantee amounting to RM30,528 with IIUM as a performance bond for the Gombak contract, within 14 days from the date of the Letter of Award.
GPB will be utilizing its existing fleet of buses and resources for the shuttle bus service, and as such will not require any additional capital expenditure.
The Contracts are expected to have a positive effect on the earnings of Gunung for the financial year ending 31 December 2014, and have no effect on the share capital and substantial shareholders’ shareholdings in Gunung.
None of the directors, major shareholders and/or persons connected with them has any interest, direct or indirect, in the above Contracts.
The Contract is not subject to the approval of the shareholders of the Company or other relevant authorities.
