BOD what are the reasons aircraft lease companies/lessors demand
for the conversion of outstanding lease payments of USD240 million
(approximately RM1.1 billion) into bond (Tranche 1)?
Answer:The lessors did not demand the conversion of outstanding lease amounts into Revenue Bonds. The Revenue Bonds structure was introduced by AirAsia as a restructuring solution to manage these amounts. This approach helps us address financial obligations sustainably while providing lessors with regular income through the bonds.
We believe this strategy supports our long-term stability and operational flexibility.

The Singapore government gave automatic half scholarship to all foreign NUS students with condition to serves in any Singapore companies for a period of time after graduation.

Question 4: External Auditor please explain the different FYE 2022 current lease liabilities is RM4,340,844,000 in FYE 2023 why total amount (lease) recognised in profit or loss: RM 2,445,438,000. Payment of lease liabilities in cash flow: RM (2,045,816,000)?
Answer: The FYE2022 current lease liabilities include unpaid outstanding lease.
The cash flow in FY2023 represents the actual amount paid by the Group.
The Profit and Loss items relate to interest on lease, depreciation on Right of Use assets and short term lease expense

Question 5: External Auditor what it means by included in lease liabilities are lease rental payables amounting to approximately RM 2,810 million?
Answer: This pertains to the outstanding amounts of lease rental due and payable owing to the lessors that remained unsettled as at 31 December 2023

Question 9: External Auditor, from Sales in advance: RM 2,025,298,000, Proceeds from borrowings: RM 1,273,030,000 yet the Group only managed payment of lease liabilities: RM 2,045,816,000 which is far off the amount of current lease liabilities reported at FYE 2022 RM 4,340,844,000. What happens to the unpaid FYE 2022 current lease liabilities?
Answer: For the due and payable lease payments for FYE2022 and prior year, the amount is recorded within trade and other payables in FY2023

Follow up clarification
External auditor, are the answers given on above implied as long as lessors agreed to roll over unpaid lease payment due then the income statement (P&L) accounting recognised only RM 2,445,438,000 (interest on lease, depreciation on Right of Use assets and short term lease expense) instead of the full amount Financial Year Ended 2022 current lease liabilities of RM 4,340,844,000?

Isn’t that distorted the financial income statement and the profit/(loss) for Financial Year Ended 2023?


Question 23: External Auditor, by acquiring the 60% PAA how many billions net liabilities was transferred from PAA to the Group and how many billion negative equity from Non-controlling interest was transferred to shareholders’ equity?
Answer: A total of approximately RM 2.3 billion has been transferred as a result of the acquisition

Cash flow from financial activities:
Borrowing mean cash inflow from new borrowing for the year
Payment of lease liabilities mean cash outflow payment pay to lessors for the year.

Balance sheet
Sales in advance mean customers already paid you the money for services/flights capA not yet provide
Current lease liabilities mean lease payment due in the next 12 months
Non current lease liabilities mean lease payment due from 12 months and above.

My point is despite new borrowing and advance sales capA can't even pay fully the current lease payment due and need to roll over unpaid due as trade and other payable.

An allowance for impairment of RM 315.3 million was recognised in 2020 foran amount due from a related party, AirAsia X (AAX), resulting from AAX’s debt restructuring exercise. Subsequently, in 2022, after AAX concluded the debt restructuring exercise, RM313.2 million of the outstanding amount was written off.

An allowance for impairment of RM214.4 million was recognised in 2020

As of March 31 2024, there were 528,500 shares of class A common stock issued and outstanding, excluding 2,991,003 shares subject to redemption.

On May11, 2021, the sponsor purchased 2,875,000 founder shares (Class B common stock issued and outstanding) for an aggregate purchase price of USD 25,000.

Question: With such a low numbers of class A and B shares issued and outstanding, are the merged with CAPI still feasible and possible?

Aetherium Acquisition Corp, a special purpose acquisition company, is set to be delisted from the Nasdaq Stock Market following a notification from Nasdaq on Monday, June 18, 2024. The decision comes after the company failed to meet Nasdaq's continued listing requirements, specifically maintaining a minimum Market Value of Listed Securities (MVLS) of $50 million and a minimum of 400 total shareholders.

The company was initially given until November 6, 2023, to regain compliance with the MVLS requirement. Despite efforts, including an appeal to the Nasdaq Hearings Panel and a compliance plan tied to a business combination agreement with Capital A Berhad, Aetherium did not meet the necessary criteria within the extended grace period that ended on May 28, 2024.

In response to the delisting notice, Aetherium Acquisition Corp has requested a hearing before the Panel by the deadline of July 5, 2024, to present a new compliance plan. This plan includes intentions to file a Form F-4 related to its business combination agreement and to potentially transfer the listing of its securities to the Nasdaq Capital Market.


Trading of Aetherium's units, Class A common stock, and warrants was suspended on Thursday, June 21, 2024. The company is currently preparing to submit its plan of compliance and still plans to file the Form F-4 as previously agreed with the Panel. If Aetherium does not appeal or the appeal is unsuccessful, Nasdaq will proceed with the delisting by filing a Form 25-NSE with the SEC.

My doubt on the proposed capA dispose AAAGL and AAB to AAX remain as below:

I’m afraid the deal is a zero sum game. What The Group gains is AAX losses: AAX after the acquisition of AAAGL and AAB the total borrowing and lease liabilities is RM 23,271,794,000 gearing 23.96 times.

Question 32: External Auditor what is the likelihood that AAX/New Aviation Group default on payment on current liabilities: Lease liabilities, borrowing, aircraft maintenance, trade and other payables, etc?

Question 33: Company Secretary If a default happens; will the BOD of both CapitalA and AAX end up in jail for offences of Wrongful/Fraudulent trading under Company Act 2016 section 540 and Section 539?
