Private placement means the company needs money. They ask for extension of time because they are yet to meet investor. If you have money you can apply for it.

share price they offer usually lower than market price.

Let's think this way, directors wants to own more of the the company.
So they want to increase the number of shares by pumping in more money.
That does dilute the EPS.
But if you are the director, you don't want these shares to become scrap paper because you are holding lots of it.

Private placement mean they looking for new share holder and it will dilution their current share %
