will they announce RTO first, before project announce , or project announce first before RTO?. in that case there is two scenarios here. Do they really need the project announce for the RTO, thats my first question. They can also benefit from RTO even before project announce.
second question is the "probably 0.20 cents" , why are they aiming for a lower price 0.20 cents before RTO? or why will price drop to around that at the first place? is it because they trying to raise money, from selling shares released by the conversion of ICPS? what is the money used for? What if the RTO never happens? they would have gained money on the excercise itself. What if the RTO happens? if they did not sell the shares, they would gain significant value on the shares held from the ICPS conversion.
So another question is , why did they convert the ICPS? is it to increase share base, or to sell while there is buyer? Are they serious on the RTO or is this a ploy to increase base buyers for the shares to be sold.
I am not saying not that anyone is true or not, i am just basing my decisions on facts and answers
The project has to be secured / guaranteed first behind the scenes , otherwise why RTO? Thing the process is maybe being delayed now due to mainly on project securement. Once this is 100% secured with no disturbance, nothing will stop RTO. As for goreng to take money here and there, if you look at owners of connect, these are small money for them.
How does everyone comes to the point where today is the D day. Is it for the project announcement or for RTO announcement? If it doesnt happen share price will drop?
however even if people mention today, the talks are ongoing which is a fact. now the question is when we look into the dealings of CC are they playing a game or are they serious? only way to know if they announce RTO as soon as possible, and not playing with ICPS convertion.
If the RTO happens first, CC will benefit twice ! they got two shorts at increasing share price. Which is 100 % chance winning on RTO announcement and 50% chance loosing/winnning for the contract. Two chance at limit at 30 Cents each time plus the market drive after each event.
however if they announce RTO same say as contract announcement, they get/dont get the contract, they have 100% winning or losing. and only one chance are 30 cents limit up.
My thought is, they will announce RTO before contract announce, just that how far they wanna play with ICPS conversion? they announce a record 40 million last friday, and maybe 60 million shares for that week alone.
“ Why does S5 want to do an RTO of ConnectCounty? Despite the latter being an ACE Market-listed company, it is believed that this might help in its NIIS bidding process.”
This is according to report in Focus above. Looks like RTO has to happen first before eventual award.
Further, based on the Purchase Consideration of RM90.00 million and the net profit of RM6.32 million of S5 (based on 10% equity interest of S5 to be acquired), the implied price-to-earnings ("PE") multiple of the Proposed Acquisition is approximately 14.23 times.
Convertible preferred shares can be converted into common stock at a fixed conversion ratio. Once the common share moves above the conversion price, it may be worthwhile for the preferred shareholders to covert and realize an immediate profit. After a preferred shareholder converts their shares, they give up their rights as a preferred shareholder (no fixed dividend or higher claim on assets) and become a common shareholder (ability to vote and participate in share price declines and rises).
My view, conversions are beneficial to company in getting cash n saving interest payment. With market liquidity, conversion makes sense to make quick profits. But the real reason is that when S5 RTO Connect it will have to take shares in the Company as there is no cash to pay them. Conversions are a form of cheaper entry plus the % shareholding by S5 becomes smaller otherwise have to do a MGO . Say S5 takeover is at 50 sen then Connect has to issue 1.8b shares so a MGO is triggered unless waiver is obtained. Say S5 gets the 1.5b contract , then shoots to 80-1.00 so guess who is the real winner. The deal is a win win for all so I hope it gets done as our market needs spice.
8.01 Appropriate offers for convertible securities (1) Where a take-over offer is made for the voting shares or voting rights of an offeree and the offeree has outstanding convertible securities, the offeror shall make an appropriate offer or arrangement to holders of the convertible securities and safeguard their interest. (2) The offer document must be dispatched to the holders of convertible securities at the same time that the offer document is dispatched to the offeree shareholders. (3) The take-over offer to holders of the convertible securities referred to in subparagraph 8.01(1) may be effected by way of a scheme approved at a meeting of the holders of the convertible securities.
stockjobber " She will shoot up soon as the WA, WB and PA offer no discount to the mother price"
@stockjobber... bro it really depends on who is converting the ICPS...the 470mil ICPS on hand as in their company annual report dated 31/12/2019, the total value of ICPS in their company report only RM12mil. (Page# 130 of company annual report)
So their average cost is about RM0.026 per ICPS share, if add in RM0.075 conversion fee, their total cost after conversion only RM0.11 or RM0.12 per share.
Anyone please correct me if my calculation is wrong....
The way and the rate of icps is too slow. it seems it will take some more time. Except, the shareholders/ directors are sharemarket pros. or else, i foresee this will keep dropping.. and more icps coming..There are 400m icps leftover.
I think probably S5 or CC company will require to convert most, if not all, of their on hand ICPS shares before RTO -- in order to prevent the possibility of future ordinary share % dilution by ICPS conversion... to safeguard the benefits of controlling shareholders
At current prices there will be less or no more conversion in coming weeks. You can see that the buying volume of the PA n Warrant have been much reduced in last few days.
