mean i got 2x1000 mothershare i had to pay RM1x1000 for the ICULS(5%p.a for 5years) and get a free warrant, and after 5 years i need to pay another RM1x1000 for the conversion for mothershare? so mean i total pay rm2x1000 for mothershare. am i mistaken? please correct me
angloong you are not correct in this case after two years the iculs can be change to mother share without any payment. Please read the Bursa announcement.

pradeep: the annoucement made :The ICULS shall be issued at 100% of the nominal value of RM1.00 per ICULS. The Board has fixed the conversion price of the ICULS at RM1.00 per new TGIB Share. The issue price and conversion price of RM1.00 has been arrived at after taking into consideration the following: (i) the five (5)-day Volume Weighted Average Market Price (“VWAMP”) of TGIB Shares up to and including the LPD; (ii) the conversion price of the ICULS shall not be lower than RM1.00, being the par value of TGIB Shares; and (iii) the funding requirements of TGIB and its subsidiaries (“TGIB Group” or “Group”) as set out in Section 2.6 of this announcement. The conversion price of RM1.00 per ICULS represents a discount of approximately RM1.18 or 54.13% to the five (5)-day VWAMP of TGIB Shares up to and including the LPD of RM2.18.
what i understand in the annoucement is that conversion need to pay another RM1.00?
angloong, let me explain a bit of what pradeep said about conversion price of ICULS to mother share is RM1 (which is par value).
You have paid RM1 for 1 ICULS during the Rights Issue, when you exercise your rights to convert 1 ICULS (RM1 par value) = 1 ordinary share (RM1 par value), you don't need to pay additional RM1 to convert. Both par value is RM1. So, it's just 1 ICULS = 1 ordinary share.
It is not like the free warrants where you have to pay RM1.50 in order to have 1 ordinary share.
If closing price of Tguan say RM2.10 before Rights issue, ex-price for Tguan should be RM2.10 + RM2.10 + RM1 = RM5.2, theoretical Tguan ex-price = is RM5.20 divide by 3 = RM1.73. With this,market price of ICULS and warrants should be,

No need pay Rm0.73 for mother share when you convert your ICULS. Because it's a listed ICULS, this ICULSwill be admitted to Bursa and should be traded as say, 'TGUAN-LA', and price will be 0.73 at board upon admission.
HI Pradeep, the opening price for ICULS should be close to the ex-right price of the mother share as it is convertible to mother share on 1 : 1 basis ( though only can convert after 2 years).
Warrant price will be below RM 1 unless mother share goes up a lot before ex and ex-right price is above 2.45, then warrant may be above RM1 also.
poohboy I think ex date will be after the EGM but why did you mention Court. As far as I understand they need to obtain the approval of Bursa, and recently the announcement shows they have done .Multibagger I agree with you and it is dirt cheap now to collect. At RM3 means that after conversion of all ICULs and warrants, TG will have to trade at Rm2.2 to breakeven. TG's net profit growth has not been spectacular so far. Bearing in mind that EPS will be diluted by a share base that will be 75% larger, the current cum all price of RM2.10 is abut right.
