Obligations of the Parties (a) (b) AESB shall perform the following obligations: 1) Identify, negotiate and secure sand purchase contracts with overseas buyers; 2) Provide project management services in relation to the JV Project; and 3) Provide any required assistance and relevant expertise to BDSB to ensure smooth implementation and completion of the JV Project; BDSB shall perform the following obligations: 1) Ensure the validity of the requisite approvals (including all kinds of licenses, permits and consents, not limited to approved permits for sand export, approval for sand extraction at concession site area) from relevant authorities for the supply and delivery of sand in relation to the JV Project; 2) Ensure the validity of the environmental impact assessment report is valid throughout the Joint Venture; 3) Ensure the sand to be supplied meets the requirements and specifications of the overseas buyer; The Parties agree to use their best endeavour to assist and co-operate with each other to carry out and complete the JV Project in accordance to the laws, procedure and requirements of relevant authorities and will ensure the JV Project is in compliance with relevant laws and regulations of relevant authorities.
Pursuant to the JV Agreement, BDSB will ensure the validity of approvals from relevant authorities for AESB to export sand overseas, such as sand export license, approval for sand extraction at concession site area and environmental impact assessment report as well as the approval from Sabah Government to conduct sand dredging activities from the river in Sabah for export to China, Hong Kong, Macau and Taiwan. As such, the Company would be able to commence its existing projects in sand supply and export in the pipeline. Premised on the above, the Board is of the view that the JV Agreement is expected to augur well for the Company.
