the cash portion of 162mil is more than share portion of 108mil. which means the new major shareholders did not agree with the share price of 1.14.

When you can buy 50yrs old co; the only major player for water engineering at P.E 10....together with their ongoing book order, cash etc...then it's a very good buy...surely will be at least 25 when everything in place.
