Subject: Fw: Berjaya Land - disposal of Kyoto Four Season

Dear Lydia,

Err... After the email sent earlier (attached) requesting further information into the Kyoto Four Season disposal, I have spent some time reading into the announcement made by BCorp pertaining the disposal of Kyoto Four Season (link as follow.)

Announcement details

Announcement details

It seems that BCorp is planning to use RM 1.218 billion from the disposal proceed to pare down debt at BCorp level while an additional RM 329 million to pare down debt at BLand level. Isn't the joint venture a 50-50 ownership by both BCorp and BLand? Curiously, exactly how much is BLand expected to receive and how's that differ from its 50% ownership?

Thanks in advance.

Best regards,

Subject: Berjaya Land - disposal of Kyoto Four Season

Dear Lydia,

It's to my understanding that Kyoto Four Season is a 50-50 joint venture between BCorp and BLand, am I right? When reading through the most recent quarterly report of BCorp, I noticed that BCorp received RM 2.008640 billion from the disposal of Kyoto Four Season. Meanwhile, in the most recent quarterly report of BLand, I haven't noticed a similar cash flow from investing for BLand (RM 1.004320 billion from it's 50% ownership). May I know why? Furthermore, may I know what's BLand's BOD plan for said fund and if any dividend will be declared from such an outstanding sale of an asset?

Thanks.

Yup! If BJCorp & related parties already controls about 90% of BJLand, privatisation is a matter of time..that's why VT machais are actively encouraging you to exit in order to increase their % holding or discourage minority from buying more as expensive to press down share price indefinitely given limited liquidity in the market...

Why no people buy all at 17sen . Like that maybe can give the boss a lesson .
Then we can make the best price if anyone interested to private
Since toto already start business
I think should offer at least 50sen if some one interested to private bjland nta so high 50sen also 90% discount to some one who got interested on Bjland

Good suggestion...should follow the BJCorp/ Penta deal ratio agreed earlier for dividend in specie to meet the 20% PSS requirement imposed by Bursa... somebody to follow it up with BOD in coming EGM/AGM? Also to suggest a combination of cash dividend & BJCorp shares for BJLand shareholders as most hold shares in both companies.

kahhoeng err... distributing BLand shares to BCorp shareholders to meet shareholding spread while meeting the dividend promise?

Bjland board wishes to announce that the company has yet to formulate any rectification to address the shortfall in the 20% PSS by 23rd September 2020? kahhoeng said to distribute bjland? By who's? By bjland ? Tricky part is bjcorp or bjland who sold cheaply and cheating the trust of both entity. Bought expensive sold cheaply. The beneficiaries only TSVT.

Even bjland succeeded 20% bjland, the trust of market value already suffered. At another hand,Bjcorp , also don't know why have to undertake bjland and investment in bjland, the minority gained nothing.

Err... What I meant is distributing bland shares to bcorp shareholders for free, probably like 1 bland shares for every 10 bcorp shares held. Bcorp will be able to distribute 500 million bland shares, easily reach the 20% shareholding spread required by bursa.

Yup! BJLand utiliize Accruval Accounting to recognize gains and losses in the period it occurred irregardless when actual cash is received.

Since the GMOC Arbitration win was awarded by HKIAC on 21 May 2020. At least RM600 million will be recorded as gains in Qtr 4 offsetting any reduction in income from other investments to show profit in coming Qtr.

Yup! Since BJLand is the majority, all money received from GMOC Arbitration will be recognized in BJLand account before any distribution.

Same principle goes, where all cash received through BJCorp in FS Kyoto hotel component sale even though BJLand is 50% owner...bottom line..there will be profit in coming Qtr.

Yup! Pls. note that BJLand practices Accruval Accounting to recognize gains and losses in the period it occurred irregardless when actual cash is received. You don't simply change the accounting rules to suit your convenience..

Back in 2017, BJLand made impairment losses of RM600 million on non payment on sale of GMOC to Beijing SkyOcean against operating profit to convert it's Qtr report to a loss. At that time BJLand was trading at 38 sens against 17 sens now due to non payment..

Likewise, since awarded an Arbitration win by HKIAC against Beijing SkyOcean on payment of RM650 million including interest on 21 May 2020. The previous impairment loss provision of at least RM600 million in BJLand's accounts will be reversed in the coming Qtr. Report, irregardless of when money is actually received as the Arbitration win of at least RM650 million is secured against Beijing SkyOcean frozen assets valued 20x more than the Arbitration win by China People's Court. Any secured Arbitration award is assured by the power of China's Peoples Court to collect on sum of money owed to BJLand including interest!

The announcement is a first step to provide clarification into the disposal of Kyoto Four Seasons. I am glad as a minority shareholder that they are offering further insight into the deal. Though, since VT has made a promise for dividend post disposal, it should make clear how much will be allocated as dividend. Would appreciate a dividend that's equivalent to 10-20% of the disposal proceed. BCorp and BLand will still be able to keep 31-41% for future projects.

BCorp already shows they would rather have BLand buying into BFood and 7-11 than paying dividend. Combining to what's announced in the ratification announcement, best request a confirmed amount of dividend to safeguard minority shareholders' interests.
