After reading the news, announcements from MyEG and reports on S5, below is my opinion:

1) MyEG paid RM90m for 10% of S5, valuing S5 at RM900m. The deal was announced in June, completed 7th July as per MyEG announcements.

2) Connect made an announcement to address an online article, but nothing signed with S5, just admit that they are talking. After delaying for a month plus and no subsequent follow up confirmation, seems like RTO via Connect is aborted. Looks like someone use the news to goreng up. Pity the innocent believers of Connect.

3) If S5 were to be injected into ALB, it is a win-win-win for ALB, Ancom and S5.

S5: Gain listing status in time for new awards of contracts, preparing for possible winning of jobs. Value creation via market cap for owners and new shareholders of S5.

ALB: Disposal of current tank farm and logistics biz to Nylex (their main client), listing status to be sustained by new biz injected from S5. Minority will be part of a RM900m to RM1b company based on existing biz. Future growth possible with new job win.

Ancom: Sale of ALB biz to Nylex translates to gain for Ancom (reduce debt to Nylex). Dilution of ALB holdings from 48% to possible 5 to 10% depending on valuation of S5. Take 5% for calculation purpose.

Owning 5% of a billion ringgit co = RM50m.
Future job win will increase the 5% value to RM100m?

Ancom current market cap only RM200m.

ALB holdings current worth after injection =RM50m
Nylex holdings at current market cap 50% of RM150m = RM75m
Agrochem PAT 35m PE13-15x = ~RM500m

Even minus debt of RM80-100m at holding level, easily RM500m valuation???

Total shares 250m, so each share RM2???

S5 tipped to take over Ancom Logistics, say sources

SECURITY solutions provider S5 Holdings Inc is seeking to do a reverse takeover (RTO) of Ancom Logistics Bhd (ALB), people familiar with the matter tell FocusM.

“S5 will be the majority shareholder of ALB while Ancom will have a minority stake in the company, estimated to be at 5% after dilution, with room to enlarge its shareholding in the future,” a source said. 

S5 had been tipped to be a frontrunner for the RM1.5 bil National Integrated Immigration System (NIIS) contract. The winner of the tender is expected to be announced soon. 

E-government services provider MyEG Services Bhd had also offered to take up a 10% stake in S5 for RM90 mil from Merrington Assets Ltd.

Ancom Bhd is the holding company of ALB as well as Nylex (Malaysia) Bhd. This means the initial RTO of ACE Market-listed ConnectCounty Holdings Bhd reported on June 16 had collapsed. ALB is also listed on the ACE. 

The Edge reported today that emergency board meetings had been called for all three companies under the Ancom group to discuss “restructuring plans for the whole group.”

Ancom Bhd, ALB and Nylex had requested for a suspension of the trading of their securities from 9am to 5pm today, pending a material announcement on a corporate exercise.

ALB’s core business is in tanking and logistics of petrochemicals and chemicals while Nylex is involved in the distribution and manufacturing of petrochemicals and industrial chemical products. 

Ancom was seeking to consolidate its logistics assets under Nylex, said The Edge. 

Prior to having their shares suspended, Ancom Bhd and Nylex’s shares closed at 77 sen with a market capitalisation of RM183.2 mil and RM134.69 mil respectively.

ALB, on the other hand, closed at 13 sen with a market value of RM61.53 mil. – July 15, 2020

I don't think Ancom bidding for immigration project, just render listing shell to S5. They need to look for assets to acquire anyways after selling logistics biz to Nylex as part of restructuring. If not ALB will be categorized GN3 without biz. Win-win for Ancom and S5.

Today really roller coaster....anyway now Public shud realize the value of Ancom..
Assuming RTO successful the Ancom will own 4-5% of S5 which is ard 40-45m....
Ancome now market cap is less than 200m...wit this asset in hand how much more the NTA shall increase.What if upon RTO the 5% double up..it is consider 50% of Ancom market cap...assume Ancom stagnant at current price and not moving at all..
I believe investors shall rush in to buy Ancom now bec it is super undervalue.
Pray that tomorrow those dunno how to evaluate Ancom investors juz throw dwn the shares...I could buy more and enjoy the capital appreciate.

Many people know that Government will award the NIIS to MyEG. But government also advise Myeg to use local companies as thier contractors and S5 seems has proven record.

Since Myeg started hiring many good talents including from S5, I think Myeg can work with many local contractors to complete the NIIS project.

No goverment officer dare to do recomendation to award the contract to Ancom although acquired by S5. This is because Ancom does not has proven record and they probably will fail if Special Branch perform background check of the company.

Ancom render a listing shell with NTA 5 sen, issue at 10 sen (premium to NTA).
End result is also a minority stake in S5

DEAL OF THE YEAR FOR ANCOM!!!!

S5 tried to RTO Goodway last time but did not happen becaue S5 was still headed by this Johann Young who was blacklisted in ASX and also on red flag list by SC.

Now S5 new majority is S7 who is said to be linked to Uncle Din.... Plus MyEG would not acquire 10% for RM90m if they are not confident of S5's future plans, whether is RTO or award of NIISe.

MyEG paid RM90m for minority in S5, Ancom just lend a shell at DOUBLE the NTA of the shell.

This time is game changer for Ancom... HOSEH!!!

New director appointed at ALB side. Why appoint new director when RTO is happening? Might lead to some to imagine that new party installing own director to monitor and take part in board from start to finish of RTO.
