this entire drama is a repeated AAX corporate exercise, show 2 quarter making profit, capital reduction then share consolidation, finally apply to quit PN17. If you able to see the same pattern similar to AAX and done the excel homework, you are likely continue to hold both companies shares because you have find out the share dilution on AAX and the EPS (after corporate exercise) of AAX. Amount of AAX new shares to be issued, 2023 & 2024 quarterly financials, all these numbers are readily available. There are hardworking people and lazy people, no homework = unlimited uncertainty.

In addition, the post- exercise pro-forma balance sheet also indicated in the pdf file.
The uncertainty is greater prior to the EGM of both companies, but now is much clearer to investors, hence share price rebound from 7x sen to 9x sen. Most information has released to investor hand and those who interpreted correctly will see opportunity.

$CAPITALA (5099.MY)$ has terminated its agreement with Aetherium Acquisition Corp, which was designed to incorporate its AirAsia brand management business into the Nasdaq-listed SPAC for US$1.15 billion (RM5 billion). The decision followed a delisting notification from Nasdaq's hearing panel received by Aetherium in June, citing non-compliance with specific listing rules including a minimum market value of US$50 million and a minimum of 400 shareholders. Despite Aetherium's appeal against the delisting, Capital A exercised its right to cancel the agreement based on the established terms and conditions.

I had done my part with questions to BOD and am waiting to read their answers once the EGM Q&A is published in their website

Since I am no more a shareholders of AAX and CapA thus I reserve my opinion to myself and wish everyone best of luck.

One need to read and understand how the Capital A management restructure the business and what they are doing to secure the financing require to growth the business.

Using old mindset that all business must run using cash is outdated.

False interpretation and confirmation bias are blockage to understand how corporate growth business.

KUALA LUMPUR: Capital A Bhd has announced its proposed regularisation plan includes a capital reduction of up to RM6bil to set-off the accumulated losses of the group.

Capital A CEO Tan Sri Tony Fernandes said the group can now focus on growing its four strong companies within Capital A comprising CAPAS (aviation services), Teleport, MOVE digital and branding company.

"These companies will not only support AirAsia but also help shape the future of the Asian aviation and travel industry," he added.

Meanwhile, Fernandes said the group has decided to scrap the US$1.15bil special purpose acquisition company (SPAC) deal to list AirAsia's aviation brand manager on the Nasdaq.

"Nevertheless, once the regularisation plan is completely executed, Capital A will revisit the idea of listing its four core businesses, starting with the branding company in the US stock market," he added.

Funny that sslee used to be a shareholder but with all the negative perception of Capital A haha. AirAsia brings so much good to the travel industry and community and is one of the best run LCC in the world. Even MYairline went bust when they have the cheap plane rentals, fixed assets, and loans. Not easy to run an airline business especially in Asia but AirAsia has continuously delivered. Not perfect but good enough!

As I also done my part to urge Cap A release the non-aviation segment revenue & profit during EGM, which they did in latest announcement of regularization plan. Overall consolidation revenue and profit of 2023 are 2.2b and 100m respectively. EPS and share price are up to MR. market now. Q4 financial result will be a critical benchmark because the MRO new hangars are operated in full capacity and fully booked until end of 2025. Rest assured that I no longer need to worry about load factor of AA & AAX as long as their planes still flying, the planes need to come back Cap A's hangar for maintenance.

Clarification Question 2: Isn’t that distorted the financial income statement and the profit/(loss) for Financial Year Ended 2023?

Response: The financial statements follow the accounting standards under IFRS 16 Leases, which require the recognition of lease liabilities and corresponding Right of Use (ROU) assets.
This treatment is consistent with accounting standards and to provide a clearer picture of the company’s financial performance over time, rather than distorting it

Capital A management is realizing restructuring plan and business expansion according to what they convey to all shareholders since 2023. Any changes they keep Bursa and shareholders posted.
Look at businesses in Malaysia , what other company emphasizes such extent of direct communication with stakeholders?
They are not magician, they are true entrepreneur and hand on businessman at core.
