Actually, since AAX is buying the airline business along with all the debts, we are focusing on Capital A interest only, so I assume non airline business contribute 1.2 billion++ revenue from 2023, so not sure to said they will have profit of 200-300 million annually........surely not fully accurate as really not sure whether any remaining debts.........

Capital A and AXX are now cruising at Mach 3.2 to get out PN 17 by the end of this year. We issued a buy call for CAPITALA on 20 Sep, and since then, it has reached our R2 at MYR0.930. The current pullback has been contained at the 61.8% Fibonacci Retracement level. The fresh uptick in the RSI indicates that the bulls remain in control, supporting the continuation of the uptrend. We reiterate our BUY with higher TP.

Mabel is waiting for the extra 400 shares of AAX for every 1k shares of CapitalA

Thanks JrWarren for the explaination. I read the technical proposal and haha I could not understand the finacial technical terms;

this means about - 34.6% reduction after the conversion to mother share? And if we have the option not to convert to mother share hold till the end of expiry date and enjoying the RCUIDS agreed yearly interests?

before conversion 75sen x 100 units = RM75 or make comparable 75sen x 288 units = RM216
after conversion 26sen x 288 units = RM 74.88
(74.88/216) x 100 = 34.66 %

Is that correct count this way, please correct me.

Use 1 lot (100 unit) as example for illustration:

Face value 75 sen x 100 unit = RM75 (per lot)
share conversion Before: 75 sen x 100 unit = RM75 (per lot)
share conversion After : 26 sen x 288 units = RM 74.88 (per lot)

Your RCUIDS still worth RM75 per lot, at the time of repayment of RCUIDS , Capital A will pay you back RM75 per lot of RCUIDS.
This is in line with the borrowing terms because we lend RM75 per lot RCUIDS to Capital A.
Tony also compensate RCUIDS with more Capital A shares to 288 units after conversion, so you still get back the same value of shares after conversion.

Is this mean before AAX distribution ex date you can convert 1,000 unit of RCUID to 1,000 capA share.
After ex date you can convert 1,000 unit RCUID to 2,880 units of capA share.

Issuer can choose early redemption or follow the redemption schedule.
Redemption start 4th year from rcuids issue date, thus total outstanding rcuids shares will reduced.

So what is the difference of converting the rcuids before the proposal and dont convert.

Convert now will get AAX shares and Capital A share.

Dont convert still entitle to interest based on outstanding rcuids subject to gradual issuer redemption .

The different is the whole RI of RCUIDS with free warrants is to benefit Stony.

Stony already pledged his RCUIDS to bank for his borrowing to subscribe the RI. The banks only want their money back and not capA nor AAX shares.

Stony and capA encountered all the crap & sh!t from bankers as banks are famous for lending you an umbrella in sunny day and ask for it back when it begins to rain

Example:

1. The proposed RM6.68 billion disposal of AirAsia Bhd and AirAsia Aviation Group Ltd to AAX will lead to a pro forma gain of over RM18 billion when the transfer of accumulated losses in the aviation business is included
2. CapitalA net assets will be positive and thus out of PN17
3. CapitalA shareholder will get the distributed AAX share
4. CapitalA should be able to restart dividend
5. Stony intend to grow ADE and list it
6. Stony intend to list capital A international in US
7. MOVE will be a big as .........

For capitalA shareholders you pray all above will come true and capA price fly to the moon.

note: 1 lot = 100 units for the case 1000 units = 10lots.
The merger proposal will be 1000 units (10 lots) will get 397 units of AAX

other way if reading in lots, that will be 10 lots of Cap A -> 3.97 lots of AAX

Capital A is growing from low budget air travel business into a tourism conglomerate.

For such an ambition goal modern financing option has to be deployed.
One cannot expect extraordinary business growth using outdated kampung kedai model where everything in cash.

During covid 19 and business uncertainty, is very difficult to direct secure bank loan for working capital to sustain Airasia business.
Bank only care the monies loan out return with reasonable interest.

RI taken by all shareholders including Tony, Kamarudin etc is to secure monies for Asia working capital ensuring the company survive during difficult time.

Taking loan to finance RI is a liabilities. Why? Bank loan and interest need to be paid to the bank, Bank is the biggest beneficial for a loan. Which bank give interest free loan?
