TotalEnergies has signed an agreement with OMV to acquire its 50% interest in Malaysian independent natural gas producer and operator (SapuraOMV) for $903 million (including the transfer of a $350 million loan granted by OMV to SapuraOMV). Sapura OMV is the joint venture between Sapura Energy BerhadSapuraOMV Upstream Sdn and OMV.
It mean TotalEngies pay OMV USD 903 million to take over 50: 50 JV SapuraOMV now become SapuraToalEnergies (50:50) and the intercompany loan Sapura owed to OMV is now intercompany loan owed to TotalEnergies.
Completion of the transaction is subject to conditions including Sapura Energy’s shareholder approval, Petronas approval and other third-party consents as well as finalization of the transaction documents including ancillary agreements.
Why the TotalEnergy Board of Directors approved a USD 903 million investment in SapuraOMW, securing a 50% stake, which includes a USD 350 million loan transfer? Why they are so confident about this investment?
Following are my speculative analyses:
A) The TotalEnergy Board of Directors is aware of the future upcoming partner in SapuraOMW is also a wheathy and rich partner.
OR
B) TotalEnergy aims to achieve complete ownership by acquiring the remaining 50% stake from Sapura Energy.
OR worse scenario:
TotalEnergy has embraced Sapura Energy, despite its financial challenges, as a partner and committed to covering 100% of any future cash injections in SapuraOMW.🤣🤣

In 2018 under Sharil, Sapura Energy’s cash call involved a RM3 billion rights issue of 9.987 billion shares priced at 30 sen each on a 5-for-3 basis, with 1 free warrant for every 10 rights shares subscribed. Another RM1 billion was raised through the issue of 2.397 billion Islamic redeemable convertible preference shares (RCPS-i), offered on the basis of two RCPS-i for every five shares owned, priced at 41 sen each. The RCPS-i are convertible into ordinary shares on a 1-for-1 basis upon maturity on Jan 29, 2024. This means each RCPS will indeed be automatically converted into one ordinary share of Sapura only upon reaching maturity on 23rd January 2024 meaning more shares will be listed on 23rd Jan 2024 by PNB.
Based on the above Mabel takeaway is simple..
PNB’s stake in Sapura Energy, held under its various funds, was only 12.16% before the rights issue. It also fully subscribed for the latter’s Islamic redeemable convertible preference shares (RCPS-i), which were part of a RM4 billion cash call — RM3 billion from a five-for-three renounceable rights issue at 30 sen per share, and RM1 billion via a two-for-five renounceable rights issue of new RCPS-i at 41 sen each.
In simple term that's PNB cost without considering of the 12.16% before the right issues (which is at a higher price) is between 30 to 41 sen per share. As long as Mabel's cost is below (way way below) the PNB Cost, Mabel can continue to Goyang kaki. Fortunately, Mabel does not freeze like a monk. Mabel has been and out of this Battleship with a healthy double-digit profit margin...
With this latest move PNB now hold 37.5% of Sapnrg..
Unless Yunneng arbitration is allowed in Contract agreement....Sap can ignore it and go straight to Court---- That will take 6---7 years ( Najib should receive his PHD in Advance Economic Data Manipulation by then)
Why Yunneng choose arbitration?? Bcos it is Cheap and fast about 6 months----If SAP choose court system then what ever Taiwan judgement has No bearing on SAP bcos Malaysia / Taiwan has no agreement on judicial agreement ( Taiwan a renegade China province ) If Yunneng choose Germany Court or Euro Court waiting period is 5--10years excluding Trial period ( another 5 years )----Most investor over react on Yunneng Claims which would Fail first after all ( fall down just want to grab some sand to throw at SAP ) bcos Yunneng makes Technical errors ( supply wrong Data (soil test) and Materials )

Again alot of people has this misconception of "good loans" v "bad loans" loh! Thereotically, Good loans are loans taken for productive purpose that expand & grow the business such term loan to finance factory & business and working capital loh! Bad loans are taken for non productive purpose such as car loans, consumer loans, credit card loans etc!
The definition is so simplistic, why every year the banks have to take a charge of Rm billion & billion bad loans taken for productive purpose leh ? The answer is not simple loh! Billion & Billion of loans taken for productive also can failed mah!
The chief reasons whether the loans is productive it depend on circumstances...for example too much capacity, sudden fall in demand, unable to complete the project, business disputes, sudden collapse of the economy surely some cannot be forseen loh!
Thus a good management must ensure that loan taken must not be excessive & over the capacity of the co to service & in other words one should not overtrade loh!
For the bank a good loans is a loan taken & well service whether it is a productive or non productive loan mah!
One good example of Yinson is its over financing of its customers to tune of more than Rm 8 billion in terms of finance lease receivable loh! Why cannot the customer borrow from banks, which give so much lower interest compare to Yinson leh ? Surely this indicates inherent weakness to the business & the financial position of its customers loh!
In addition over trading may lead to the financial collapse of airasia in terms of huge funding for its excessive number of aircraft purchase loh!
Surely in the case of Yinson....why did it ,taken so much excessive loan to do so many Fpso project which most under WIP that is not generating any profit or cashflow yet leh ?
Can they see, just a minor weaknesses in the supply chain will cause the whole FPSO funding collapse leh ? Just look at SAPNRG at its height, no one dare to say any wrong of the Group which has capitalization Rm 34b, coincidently the same mkt cap of YTL POWER today loh!
Today Sapnrg collapse to mkt cap of Rm 1b, the collapse due to over trading & the same risk may apply to YTl Power too lo
