There can be no certainty that any offer will be made or as to the terms of any offer. The Board of Salamander advises its shareholders to take no action at this time, and that they will be kept informed of relevant developments as appropriate.

Ophir Energy shares have fallen by just under 6pc this morning after the FTSE 250 explorer moved a step closer to agreeing a £267m takeover of Asia-focused rival Salamander Energy.
The all-stock 115.9p-a-share offer comes after rival bidder, Spain’s Cepsa, walked away from bidding on Monday, prompting Salamander’s stock to lose a sixth of its value.
Cepsa had reportedly offered 121p a share as well as an additional 24p a share payment if Salamander’s drilling in the Gulf of Thailand proved to be successful.
Analysts at BMO Capital Markets said that Ophir’s offer was “slightly disappointing”.
“Whilst we agree there is a strategic logic for a combination of the two businesses, the possible offer falls a long way short of previous expressions of interest", David Round at BMO said.

The two boards are now working together and Salamander said that it “would expect to recommend the proposed offer”. Ophir’s chief executive Nick Cooper said on an analyst conference call that he was keen on making a firm bid in the next couple of business days.

Salamander shareholders would be entitled to 0.5719 Ophir shares for each Salamander share that they hold, the companies said in a joint statement on Friday.
A firm bid is conditional on the board and institutional shareholders, which overlap in the two companies, providing binding support for the bid, known as irrevocables. San Francisco base investment manager Sailingstone Capital Partners is the biggest shareholder in Salamander, with 13.34pc of the register, and second largest in Ophir.
Ophir’s chief executive Nick Cooper also has an interest in the deal going ahead as he still owns 850,000 shares in Salamander, a legacy of his time as the oil explorer’s finance chief. Ophir's offer values Mr Cooper's stake at £985,150.
Ophir's offer is conditional on Salamander cancelling its deal with Malaysia's Sona Petroleum Bhd to sell a 40pc stake in two oil and gas blocks in the Gulf of Thailand.
Should Ophir make the firm bid, Cepsa would then technically be able to return to the fray under UK takeover rules.
Analysts are also attributing some of Ophir’s share price fall this morning to the group’s disappointing drilling update in Tanzania.
A deal would bring the end to a two month takeover battle that has often taken unpredictable turns.
It was previously reported by the Sunday Times that Ophir would pull out of the race this week after Cepsa had tabled a “knock-out offer”. However, it is understood that Cepsa was irritated by Salamander’s disclosure last Friday which outlined the Spanish group’s bid proposal. Salamander defended the disclosure by saying it was bound by takeover rules to inform the market of the proposal.

There were growing fears mid-week that Salamander would be left on its own after enjoying the attentions of two suitors for months. But once Cepsa said that it had “no intention of making an offer”, Salamander immediately restarted talks with Ophir.
Ophir is keen on buying Salamander to gain access to an exploration platform in Indonesia.
Cash hungry oil explorers have faced difficulties in securing equity or debt financing leading to a wave of all-share deals attempting to match up owners of cash-generative assets with those committed to aggressive drilling campaigns.

stop blaming sc laaaa. Actually in sona plan,for the deal to be completed by year end, sc must approve QA before end of October. But when this not happened I had a feeling that something went wrong with QA and not that sc did not doing their job.. If you can remember at early stage of evaluation by sc, our friend TLTAN got insider info and posted in this forum that asset valuation by sc passed with flying colors. But when come to the second stage of the evaluation, I think the evaluation stuck with ownership and control issues. Listing regulation require sona to have majority ownership and control of QA. We know sona has only 40% ownership of bualuang field. Maybe sona also failed to impress SC that sona has control of the operation of bualuang. Hibiscus did not have these problems and sona is only second spac on sc's table. So naturally sc is trying to be stringent in dealing with listing regulation........just another 1 sen opinion....
Some of you still believe that the approval will come tomorrow, but how many tomorrow already.......pray for the best.....

Does the ophir offer needs approval by Salamander egm. Offer already discounted almost 10%. If ophir share goes down more. Salamander share holders will loose more. Right?

Ophir offer is not so tempting. Sona need only top up Usd149mil or maybe less for cash payment to Salamander. Now its up to Sona management. How good they are?

Agreed with berkshirebuffett & KOS, Sona has been low for quite some times. Believe big news in near future. Doubt people will sell at this juncture. Suggest to buy if there is a dip down of its price for a quantum leap profit
