Why surprise? Their margin has been really impressive even through pandemic and slow economy. Bank made profits and their net worth increased. Historically BIMB enjoys a 50% premium to its book value, so increased book value only moves the valuation up :)

KUALA LUMPUR (Dec 11): BIMB Holdings Bhd is undertaking a group restructuring exercise to unlock significant value for shareholders and transfer its listing status to its subsidiary Bank Islam Malaysia Bhd.

In a bourse filing today, BIMB said the restructuring will involve a proposed placement of new BIMB shares to raise RM800 million.

It said the proceeds together with internal cash will be used to fully settle BIMB's outstanding sukuk, held by Lembaga Tabung Haji.

Other aspects of the restructuring include a Scheme of Arrangement (SOA) by BIMB to settle its outstanding warrants, whereby BIMB warrant holders would be paid a cash consideration for the cancellation of exercise rights in respect of the warrants.

It also includes an internal reorganisation, whereby BIMB will dispose of its entire equity interests in its stockbroking and leasing subsidiaries to Bank Islam, to be settled in cash.

BIMB said the consideration for these disposals will be based on the latest audited net asset value of these subsidiaries.

BIMB said upon the completion of the placement, SOA and internal reorganisation, its entire shareholdings in Bank Islam and Syarikat Takaful Malaysia Keluarga Bhd (STMKB) will be distributed by way of distribution-in-specie to the shareholders of BIMB.

The group said prior to the proposed distribution and capital repayment, BIMB will undergo a capital reduction and Bank Islam will undertake a share consolidation.

It said this is to match BIMB's outstanding shares so that the distribution of Bank Islam shares will be on a one-for-one basis.

BIMB said its listing status will then be transferred to Bank Islam, which will emerge as the one and only pure-play full-fledged Islamic financial institution to be listed in the region and enhance its corporate stature.

BIMB said following the distribution and capital repayment, the new group structure will be able to achieve potential earnings accretion through the elimination of, or minimisation of resources and infrastructure duplication as well as reducing the complexity of group risk management.

"Both Bank Islam and STMKB will be able to focus on their respective strengths, allowing for a more efficient utilisation of their balance sheets and capital management to grow," it said.

The principal adviser for the exercise is Maybank IB.

At the midday break today, BIMB shares shed 0.23% or 1 sen to RM4.29, for a market capitalisation of RM7.57 billion.

对于BIMB 这家公司想要在主板上进行公司结构重组，回购Warrant 的动作其实在去年12月就公布了，当时也有不少投资部落格分享了关于这家公司的消息以及分析～ 不过时隔了那么久，近期还有人问我们关于BIMB 的课题，那么我们今天来回顾一下BIMB 到底里面发生了什么事，怎么会买BIMB送TAKAFUL，以及为什么那么多人说Warrant 是免费的午餐吧！

首先，先介绍一家BIMB 的背景。目前BIMB 是Bank Islam Malaysia Berhad，Syarikat Takaful Malaysia Berhad 的大股东（分别持有100% 的Bank Islam 以及 59% 的TAKAFUL）。而BIMB 本身是在1997 年在主板上市的，他也是在马来西亚唯一一家Shariah Compliance 的上市银行，因此公司本身是有一定的Premium 的。

BIMB 其实不是第一家进行这样子转化的公司，先前的Alliance Bank Berhad，Affin Bank Berhad，以及RHB Bank Berhad 也曾通过这样的方式分拆，释放价值。

那么回到来BIMB 这家公司，他们在去年12月一共宣布了进行五个Corporate Exercise，分别是：

1. 通过Placement 的方式集资RM 800 Million；

2. 通过SOA（Scheme of Arrangement）以现金 “Cancel” 掉BIMB 的Warrant；

3. 进行整体业务的重组，包括出售BIMB Securities (Holdings) Sdn. Bhd.，BIMB Securities Sdn. Bhd.，以及Syarikat Al Ijarah Sdn. Bhd. 给他们的100% 持股的子公司，Bank Islam Malaysia Berhad；

4. 通过Distribution-In-Specie 的方式把Bank Islam Malaysia Berhad 和TAKAFUL 的股份归还给BIMB 的股东；以及

5. 把BIMB 的上市地位转换给Bank Islam Malaysia Berhad。

我们先进行 Item (1) 的讨论，BIMB 想要集资RM 800 Million 来解决掉手头上被LTH – Lembaga Tabung Haji 持有的 SUKUK，而这个SUKUK 本身总值是 RM 922.2 Million，剩余的 RM 122.2 Million BIMB 将会通过公司自己本身的资金来解决。这次他们这么做预计每年可以节省 RM 52.8 Million 的利息（6.25%），在低利息的环境下，值得啦～

接下来到Item (2) 免费的午餐 – BIMB-WA，目前BIMB-WA 的价格是 RM 0.18，而公司则要以RM 0.26 来买回，是不是静静躺着收钱哦！就这样随便买就赚了 44.44% 叻！目前市面上的BIMB-WA 大约有426 Million 张，转换价格是RM 4.72（50.77% Premium），并且在2023才会过期。

这也就是说，不计算你买入BIMB-WA 的成本，如果我现在转换的话就是以RM 4.72 的价格来购买BIMB 的股票，目前的股价是RM 3.24… 额，这样做不是很SB吗？因此，BIMB 以RM 0.26 来进行Warrant Cancellation 的动作，意思就是说你手头上的Warrant 如果他们实行SOA 的话，将不能够再转换成母股，不过BIMB 会补偿你 RM 0.26 一张！

那么很多人看到这里就心动了，免费的 44.44% 耶！老实说，BIMB 的计划是不是肯定可以成功的实行还不一定，万一中间出了什么差错的话你就抱着RM 0.18 本钱的Warrant A 过生活了。因此我认为，还是有一定风险的。因此免费的午餐，条件是你必须承担失败的风险！

接下来我们到 Item (3)，如果你对他们企业结构重组没有兴趣的话，可以直接跳到去Item (4) 上面。Item (3) 里面主要讲述了把BIMB 持有的 BIMB Securities (Holdings) Sdn. Bhd.，BIMB Securities Sdn. Bhd.，以及Syarikat Al Ijarah Sdn. Bhd. 转移（出售）给Bank Islam，里面涉及的金额一共是RM 115.15 Million，费用将会由BIMB 承担，基本上就这样而已，没什么投资者需要特别去注意的。

接下来到 Item (4)，也就是大家期待的买BIMB 送TAKAFUL，然后本身的BIMB 股将会变成Bank Islam。其实BIMB 这样转换近期还有一个例子，那就是AirAsia 转换成AirAsia Group Berhad（AAGB），大家都知道实际上没有什么改变，只是Holding Company 换了。而BIMB 没错的话是因为要符合BNM 以及国际银行标准Basel III 的一些 “Financial Holding Company” 的问题而转变的。

以目前来说，BIMB 的 NOSH 一共是 1,959,881,736 股，而Bank Islam 则是 2,509,981,700 股，按理来说是进行 1:1.28 的转换，但是由于为了避免Fractional 的问题，Bank Islam 会进行 1.28 的consolidation，也就是说最后会变成跟BIMB 一样的 1,959,881,736 股方面转换。

现在BIMB 持有 491,550,925 张TAKAFUL，理论上来说是每持有 3.99 股BIMB 则会获得 1 股TAKAFUL，但是不要太过高兴，因为TAKAFUL 的业绩是consolidate 进去BIMB 里面的，而分析员则预计FY 2020 全年BIMB 盈利会因为TAKAFUL 分离而下跌 30%！所以，你要考虑清楚是否要两家公司都持有咯（虽然我觉得两家都很不错，随着Islamic Banking 在我国的发展，接下来会有更大的市场份额可以抢夺）

不过因为这样的转换会导致Lembaga Tabung Haji 在Bank Islam 以及TAKAFUL 身上都会有超过 33% 的股份，已经超过了 MTO（Mandatory Take-Over）的标准，但是他们可以跟SC 申请说不要，如果是我的话，也会维持这两家公司的上市地位啦～

最后Item (5) 是很简单的，就是说原本BIMB 上市，现在公司名字从 BIMB Holdings Berhad 变成Bank Islam Malaysia Berhad 而已啦～

总结来说，我觉得这个动作对于BIMB 来说是好的，而且股东们也很乐意拿到TAKAFUL 的直接股份（TAKAFUL 股息不低的叻）！目前来说我觉得以他们 P/E 7.38，股息高达 4.94% 来说还是很不错的。长期来说银行股我还是喜欢PPBANK（Lowest CTL Ratio，也是银行Bucket 1 的D-SIB），而BIMB 短中期进行spin-off play，还是ok的！
