MB: Putrajaya lalai teliti draf perjanjian air

SHAH ALAM, 7 APR: Kelalaian Kerajaan Pusat dalam meneliti draf Perjanjian Utama Penstrukturan Air Selangor dipertikaikan sehingga mendakwa dua aset air milik mereka di Kuala Lumpur dan Putrajaya ‘dirompak’ Kerajaan Negeri.

Dato’ Menteri Besar, Mohamed Azmin Ali berkata, aset milik Kerajaan Negeri serta tanah bernilai RM2 bilion akan dipindah milik kepada Pengurusan Aset Air Berhad (PAAB) untuk mendapatkan wang tunai bagi membiayai pengambil alihan syarikat konsesi berdasarkan perjanjian utama yang dipersetujui.

Katanya, kedua-dua aset itu turut disenaraikan dalam perjanjian utama yang ditandatangani Putrajaya bersama Kerajaan Negeri pada September 2014.

“Yang Berhormat Pelabuhan Klang juga harus bersetuju bahawa aset ini disenaraikan beliau sendiri sebagai sebahagian daripada aset Air Selangor.

“Maka, saya percaya dalam proses rundingan Kerajaan Negeri dan Kerajaan Pusat yang diketuai (Adun) Pelabuhan Klang, dia patut tahu apa aset yang sudah diserahkan kepada Putrajaya seperti yang dinyatakan dalam perjanjian utama bertajuk aset air milik Air Selangor,” katanya ketika sesi penggulungan Dewan Negeri Selangor (DNS), hari ini.

IMG_9966Mohamed Azmin (PKR-Bukit Antarabangsa) turut mengulang kenyataan bahawa aset milik Kerajaan Negeri itu disenaraikan secara terperinci dalam perjanjian utama dan dipersetujui sendiri Kerajaan Pusat supaya diserahkan kepada PAAB.

“Kalau benarlah dakwaan itu (merompak), apakah pimpinan Umno setuju Kerajaan Pusat yang menandatangani perjanjian ini dirompak?

“Sebab itu, saya kata daripada kita berbalah, lebih baik kita rujuk kepada perjanjian yang ditandatangani kedua-dua pihak kerana kalau setuju dengan ini, esok kita boleh selesaikan perjanjian air,” katanya.

MB: Semak dulu perjanjian sebelum tandatangan

SHAH ALAM, 7 APR: Dato’ Menteri Besar, Mohamed Azmin Ali secara sinis menasihatkan Kerajaan Persekutuan supaya meneliti sebarang perjanjian yang akan dimeterai sebelum bersetuju untuk menandatanganinya.

Merujuk kepada Perjanjian Utama Penstrukturan Air Selangor yang dimeterai Putrajaya bersama Kerajaan Negeri, beliau berkata, kelemahan Kerajaan Pusat dalam menyediakan draf perjanjian begitu terserlah sehingga membolehkan aset air milik mereka ‘dirompak’.

Katanya, peranan Peguam Negara yang sepatutnya meneliti draf perjanjian itu juga dipertikaikan sehingga menyebabkan aset air berkenaan ‘tergadai’.

“Kalau inilah Peguam Negara yang ada, negara pun boleh terjual dan tergadai kerana gagal meneliti satu perjanjian.

“Dalam sebarang perjanjian, sebelum tandatangan kena semak dulu,” katanya dalam sesi penggulungan pada sidang Dewan Negeri Selangor (DNS), hari ini.

Mengulas lanjut, Mohamed Azmin (PKR-Bukit Antarabangsa) berkata, mantan Menteri Besar terdahulu mengambil masa panjang untuk sampai ke tahap ini (perjanjian air), namun Kerajaan Pusat gagal mengambil peluang yang ada dengan merujuk kepada Peguam Negara bagi mendapatkan nasihat serta pandangan.

Wasia is a trump card to force state to compromise in the water deal as it empower fed gov to bypass state and force take over all water operation in the state (but the water ownership and profit still retain by concession holder until their respective concession expire). If wasia enforce, state will be unable to regain control over water asset at all.

According to the news above, Fed did some mistake by signing and agree to bukit Nenas and Semenyih water treatment, total worth RM 500m as part of water assets to be included to transfer to Fed in exchange for RM 2 billion, but later find out that these water treatment plant although belong to state BUT the land is belong to Fed gov. Therefore, Fed insist that the transfer only can be materialize if state agree to pay the land lease on which these water treatment located or replace it with other water assets. Azmi is trying to push the deal through without any amendment, but Fed like to fine tune some of the clause and like to rectify their mistake.

Anyhow, all these is in fact small thing and can be rectify if both party committed to resolve the water restructuring and it is actually involve small affair (dispute in these two water treatment plant is only worth RM 500m) if compare to the whole state water asset worth RM 14.5 billion (existing water concession RM 9.65 billion + Langat 2 RM 3.5 billion + water pipe replacement RM 1.5 billion).

I only can tell you, Puncak is my biggest holding in my portfolio now and after series of accumulation, especially at time Azmi announce lapse in agreement, now average price is < RM 2.60.

If Splash offer is raised, KPS will be major beneficial as it control 30% stake in splash. According to news above, Azmi will disclose Khalid have previously offer extraordinary high price for splash, but only will reveal it after state conclude the deal with splash.

It is interesting to note what will Azmi offer price vs. Khaild offer price to take over splash.

Nevertheless, state must first complete take over Puncak first, follow by Abbass (91% control by KPS) and last only for splash (30% control by KPS)

If your check State previous offer price, under Khalid rules, in 2009/2010, state did offer splash 1 x book value + retain operation and maintenance contract, and these offer is happily accepted by splash but the take offer lapse as the offer is conditions that all concession must accept state offer collectively (Puncak reject 2009/2010 offer).

Subsequently, state revise the take offer price in 2013, value splash at 0.1 x book value, citing main reason that splash shareholder already regain back all their initial cost of investment + profiting from splash yearly dividend payout. Therefore, Khalid rebalanced the take offer price to increase offer for Puncak, but reduce substantially offer in splash, prompting Puncak accept the offer, but splash reject.

In short, i think Azmi is referring Khalid first previous offer splash at 1 x book value (2009/2010) rather than second Khalid offer at 0.1 x book value. Since splash CEO is tag as PKR 'crony', State may possible revert back to 1 x book value. Nonetheless, if comparing to 2010 offer 1 x book value, splash is value at RM 1.6 billion, but if use latest book value for splash, 1 x book value could value splash as much as RM 2.8 billion. Therefore, it will be interesting to observe how state is going to fund take over for splash if value it at latest 1 x book value.

At least Rozali is not disposing his shares and spend some money to convert his warrants so he is hoping positive outcome for Puncak. I believe he will convert more of his warrants once the outcome is clear(receive RM 1.5 billion) for Puncak.
